By accessing and using the Swift Staffing website (swiftstaffing.co.uk) or engaging our recruitment services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.
Important: These Terms, together with our Privacy Policy and any separate written agreements, constitute the entire agreement between you and Swift Staffing Ltd.

- Client

- Placement
- The successful employment of a Candidate by a Client through our services.
- Introduction
- The provision of Candidate information to a Client, regardless of format.
- Retention Period
- The period during which a Client may be liable for fees if hiring a previously-introduced Candidate.
- Temporary Worker
- A Candidate engaged on a temporary or contract basis.
- Permanent Worker
- A Candidate engaged on a permanent employment basis.
3. Services Provided
Swift Staffing provides the following recruitment services:

3.2 Temporary Staffing
- Temporary worker provision
- Contract management

3.3 Recruitment Process Outsourcing (RPO)
- End-to-end recruitment management
- Employer branding
- Recruitment technology management
- Reporting and analytics
3.4 Compliance Services
- Right-to-work checks
- Background screening
- Credential verification
- Regulatory compliance support
Service Limitations: We use reasonable skill and care in providing our services but do not guarantee specific results or candidate availability.
4. Terms for Candidates
4.1 Registration and Information
- You must provide accurate and complete information
- You must update information as it changes
- You consent to background checks where required
- You agree to our Privacy Policy regarding data use
4.2 Candidate Responsibilities
- Attend interviews arranged by us
- Notify us of any job offers received through our services
- Provide references when requested
- Inform us of any conflicts of interest
4.3 No Fees to Candidates
Our services are free to Candidates. We do not charge fees for job placement services. All fees are paid by Clients.
4.4 Candidate Conduct
Candidates must not:
- Provide false or misleading information
- Misrepresent qualifications or experience
- Harass or discriminate against our staff or Clients
- Disclose confidential Client information
- Circumvent our services after introduction
Verification: We reserve the right to verify all information provided by Candidates and may terminate services if false information is provided.
5. Terms for Clients
5.1 Client Engagement
- Clients must provide accurate job specifications
- Clients must cooperate with the recruitment process
- Clients must provide feedback on Candidates
- Clients must maintain confidentiality of Candidate information
5.2 Introduction and Hire
An Introduction occurs when:
- We send a Candidate's CV to a Client
- We arrange an interview between Candidate and Client
- We provide Candidate details in any format
- The Client receives Candidate information from any source following our introduction
A Hire occurs when:
- A Candidate starts work for the Client (permanent or temporary)
- A Client engages a Candidate as a contractor
- A Candidate is offered and accepts employment
5.3 Exclusivity and Direct Hires
If a Client hires a Candidate introduced by us within 12 months of introduction, regardless of whether the hire is directly or through another agency, the Client is liable for our standard fees.
5.4 Client Conduct
Clients must not:
- Provide false or misleading information
- Harass or discriminate against Candidates
- Share Candidate information with third parties
- Attempt to circumvent fees by direct hiring
- Violate employment laws or regulations
Good Faith: Both parties agree to act in good faith throughout the recruitment process.
6. Fees and Payment Terms

6.2 Invoicing and Payment
- Invoices are issued on the date of Placement
- Payment is due within the agreed terms
- Late payments incur interest at 8% above Bank of England base rate
- All fees are exclusive of VAT where applicable
6.3 Rebate and Replacement Policy
For permanent placements, we offer the following guarantee:
- 0-30 days: 100% rebate or free replacement
- 31-60 days: 50% rebate or replacement at 50% fee
- 61-90 days: 25% rebate
To qualify for rebate/replacement, the Client must:
- Notify us in writing within 7 days of termination
- Have paid the original invoice in full
- Not be in breach of these Terms
Fee Agreement: Specific fees and payment terms will be detailed in separate written agreements with Clients.
7. Intellectual Property
7.1 Our Intellectual Property
All content on our website and materials we provide are owned by or licensed to us, including:
- Website design and content
- Branding and logos
- Recruitment methodologies
- Software and databases
- Marketing materials
7.2 License to Use
We grant you a limited, non-exclusive, non-transferable license to:
- Access and use our website for personal/business purposes
- Use Candidate information for recruitment purposes only
- Use our services as intended
7.3 Restrictions
You may not:
- Copy, modify, or distribute our content without permission
- Reverse engineer our systems or processes
- Use our branding without authorization
- Scrape or harvest data from our website
8. Liability and Limitations
8.1 Service Limitations
While we use reasonable skill and care, we:
- Do not guarantee candidate availability
- Are not responsible for candidate performance
- Do not verify all information provided by candidates
- Are not a party to employment contracts
8.2 Liability Cap
Our total liability to you shall not exceed:
- The fees paid to us in the 12 months preceding the claim, or
- £10,000, whichever is lower
8.3 Excluded Liability
We are not liable for:
- Indirect, consequential, or special damages
- Loss of profits, revenue, or business opportunity
- Business interruption
- Acts or omissions of candidates or clients
8.4 Indemnification
You agree to indemnify us against claims arising from:
- Your breach of these Terms
- Your violation of any laws
- Your misuse of our services
- Claims by candidates or third parties
Professional Advice: Our services do not constitute legal, financial, or professional advice. Clients should seek independent advice where appropriate.
9. Termination
9.1 Termination Rights
Either party may terminate these Terms:
- With 30 days written notice
- Immediately for material breach
- If the other party becomes insolvent
9.2 Effects of Termination
On termination:
- Outstanding fees become immediately due
- Confidentiality obligations continue
- Introduction obligations may continue
- Each party returns the other's confidential information

10. General Provisions
10.1 Governing Law
These Terms are governed by English law. Any disputes shall be subject to the exclusive jurisdiction of the English courts.

If any provision is found invalid, the remaining provisions remain in effect.
10.4 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control.

10.6 No Partnership
